Corporate law and Contractual law for private parties

Things do not always develop the way we imagined them. That’s when flexibility and creativity are needed. And courage to reset the sails.

Contracts, GTC, Subscription traps

As a committee member of an association you can be held personally liable for certain matters, the same applies to contracts. I explain the small print and show you the best way to protect yourself.

You want

  • to establish an association

  • to take legal action against an association’s decision

  • to implement a business idea

There is no ideal tailor-made legal form for your business idea. The advantages/disadvantages of the various legal forms have to be meticulously evaluated.

  • to have consumer contracts checked

  • to have GTCs examined

  • to extract yourself from a subscription trap

All vital contractual elements should be clearly and unambiguously stated in the contract. Vague wording will be interpreted as harmful to the drafter of the contract. GTCs are also part of the contract. Certain contracts are subject to formal requirements. You can avoid an automatic contract extension (aka a subscription trap), for example, by concluding a new contract and cancelling it immediately afterwards.
